1. Definitions

• "We / Us / Our / cogniveaxx" refers to cogniveaxx, registered at 39 Asoke-Din Daeng Road, Makkasan, Ratchathewi, Bangkok 10400, Thailand.
• "User / You" refers to any individual or organisation accessing this website or engaging our services.
• "Services" refers to the AI consulting, assessment, training, and integration services described on our website.
• "Agreement" refers to any formal written engagement agreement between cogniveaxx and a client organisation.
• "Content" refers to all materials, reports, training resources, and deliverables produced by cogniveaxx.

2. Acceptance of Terms

By using this website or engaging our services, you confirm that you are at least 18 years of age, have the legal capacity to enter into binding agreements, and agree to these Terms and Conditions. If you are using this website on behalf of an organisation, you confirm that you have the authority to bind that organisation to these terms.

3. Service Description

cogniveaxx provides AI integration consulting, employee AI fluency training, and AI readiness assessment services for business organisations. Services are delivered in English and are primarily available to organisations located in Thailand. Availability for organisations in other countries is subject to prior agreement.

We reserve the right to decline or discontinue service engagements at our discretion, and to update our service offerings without prior notice.

4. Engagement Agreements

All service engagements are governed by a written agreement that specifies scope, deliverables, timeline, and fees. No work commences until both parties have confirmed the agreed terms in writing. Verbal or informal commitments do not constitute binding agreements.

Changes to an agreed scope require written approval from both parties before additional work is undertaken.

5. User Responsibilities

• Provide accurate and complete information during engagement onboarding and assessments
• Make relevant staff and systems reasonably accessible during agreed engagement periods
• Use cogniveaxx deliverables and training materials for internal purposes only, unless otherwise agreed in writing
• Not reproduce, distribute, or resell any cogniveaxx deliverable without explicit written consent
• Use this website lawfully and not attempt to disrupt, exploit, or harm its operation

6. Prohibited Activities

When using this website, you must not:

• Attempt to gain unauthorised access to any part of the site or its underlying systems
• Use automated tools to scrape, copy, or index site content without permission
• Submit false or misleading information through any form or communication channel
• Engage in any activity that violates applicable Thai law

7. Intellectual Property

All content on this website — including text, graphics, methodology descriptions, and training frameworks — is the intellectual property of cogniveaxx unless otherwise stated. You may not reproduce, redistribute, or adapt our content without written permission.

Deliverables created for a specific client engagement (such as assessment reports and integration plans) are licensed to that client for internal use. cogniveaxx retains rights to underlying methodologies and frameworks.

8. Payment Terms

All fees are quoted and invoiced in Thai Baht (THB). Specific payment terms are agreed for each engagement and set out in the written engagement agreement. Standard terms are:

• Assessment and training engagements: 50% on confirmation, 50% on completion
• Integration consulting: milestone-based or monthly retainer as agreed
• Late payments may incur interest at the rate permitted under applicable Thai commercial law

9. Service-Specific Terms

AI Readiness Assessment

The assessment report represents cogniveaxx's professional opinion based on information available at the time of the engagement. Recommendations are advisory only. cogniveaxx does not represent that implementing the roadmap will produce specific business outcomes.

Employee AI Fluency Training

Training is delivered as described in the programme specification. Changes to confirmed session dates require at least 5 business days' notice. Sessions cancelled with less notice may be charged at 50% of the session fee.

Custom AI Integration Consulting

The scope, timeline, and budget for integration engagements are set out in individual engagement agreements. Post-deployment support is included for one calendar month from the date of deployment sign-off, as defined in the agreement.

10. Disclaimers

cogniveaxx services and website content are provided on an "as is" basis. We do not warrant that our services will produce specific business outcomes or that AI tools we recommend will perform without limitation in your specific environment.

Our advice is professional opinion based on available information and does not constitute legal, financial, or regulatory advice. You should seek independent professional advice where required.

11. Limitation of Liability

To the extent permitted by Thai law, cogniveaxx's total liability to any client for claims arising from an engagement shall not exceed the total fees paid by that client for the specific engagement giving rise to the claim.

We are not liable for indirect, consequential, or incidental loss, including loss of revenue, data, or business opportunity.

12. Indemnification

You agree to indemnify and hold cogniveaxx harmless from any claims, losses, or expenses (including reasonable legal fees) arising from your breach of these terms, your use of our deliverables in ways not permitted under the engagement agreement, or your violation of any applicable law.

13. Termination

Either party may terminate an engagement agreement in accordance with the terms set out in that agreement. In the absence of specific terms, 30 days' written notice is required. Termination does not affect obligations that have already arisen.

Work completed and costs incurred prior to termination remain payable.

14. Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of the Kingdom of Thailand. Disputes arising under these terms will first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes will be referred to the jurisdiction of the Thai courts in Bangkok.

15. General Provisions

• Entire Agreement: These terms, together with any written engagement agreement, constitute the entire agreement between the parties.
• Severability: If any provision is found to be unenforceable, the remaining provisions continue in full effect.
• Waiver: Failure to enforce any provision does not constitute a waiver of future rights to enforce it.
• Assignment: You may not assign your rights or obligations without our written consent.

16. Changes to These Terms

We may update these Terms and Conditions periodically. The "Last Updated" date above reflects the most recent version. Continued use of this website after changes are published constitutes acceptance of the updated terms.
